ZukiTalk, LLC
1. Acceptance of Terms
By accessing or using ZukiTalk’s services, including interacting with our automated assistant (“Tom”), you agree to these Terms of Service. If you do not agree, please do not use the service.
2. Description of Service
ZukiTalk, LLC (“ZukiTalk,” “we,” “us”) provides communication tools for automotive dealerships, including: • Automated voice interactions • Web-based interactive experiences • SMS-triggered communication links • AI-assisted explanations of vehicle service recommendations ZukiTalk acts as a technology provider only and does not provide automotive repair services.
3. Relationship to Dealerships
ZukiTalk provides its services on behalf of independently owned and operated dealerships (“Dealers”). • The Dealer is responsible for: ◦ Customer relationship ◦ Service recommendations ◦ Pricing and repair decisions ◦ Compliance with applicable laws (including consent to contact) ZukiTalk is not responsible for the accuracy of any service recommendations, pricing, or dealership-provided information.
4. AI and Automated Communication Disclosure
You acknowledge that: • You may interact with an automated system powered by artificial intelligence • Responses may be generated dynamically • The system is designed to assist, not replace, human advisors ZukiTalk does not guarantee that all information provided by the system is complete, accurate, or error-free
5. No Professional or Mechanical Advice
Information provided through ZukiTalk is for educational purposes. Customer approvals obtained through ZukiTalk may be treated by the servicing dealership as valid authorization to proceed with the requested services.
6. User Responsibility
By using this service, you agree: • To provide accurate information when prompted • Not to misuse or attempt to disrupt the system • Not to rely solely on automated responses for critical decisions
7. Communications Consent
By engaging with ZukiTalk, you acknowledge that: • You may receive automated communications • These may include voice, text, or web-based interactions • Your consent to be contacted is managed by the dealership you are working with ZukiTalk relies on the Dealer to obtain proper consent and is not responsible for consent collection practices.
8. Limitation of Liability
To the fullest extent permitted by law: ZukiTalk shall not be liable for: • Any decisions made based on information provided • Any service outcomes performed by a dealership • Any indirect, incidental, or consequential damages Your use of the service is at your own risk.
9. Indemnification
You agree that any claims related to: • Vehicle service • Repairs • Pricing • Dealer interactions are the responsibility of the Dealer providing those services.
10. Third-Party Services
ZukiTalk may utilize third-party providers such as Twilio for communications. We are not responsible for outages, delays, or failures caused by third-party systems.
11. Modifications
We may update these Terms at any time. Continued use of the service constitutes acceptance of the updated Terms.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the use of ZukiTalk services shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the jurisdiction of such courts. At ZukiTalk’s discretion, disputes may be resolved through binding arbitration rather than in court, except where prohibited by law.
